Name

The name of the club shall be "ESTEC Tennis and Padel Club"

Membership

Membership of the club shall be restricted to:

  1. ESA employees and their immediate families;
  2. Associated members and their immediate families.

Associated membership may only be granted to ESA pensioners and to persons working at ESTEC premises under local or contract conditions at the discretion of the Committee, subject to the following:

  1. The membership of immediate family will be accepted only in case of registration by an ESA employee or associate member.
  2. The number of associate members and immediate family members shall not exceed one third of the number of "ESA" members with their respective immediate family members.

Club Committee

A Committee shall be elected at the Annual General Meeting (AGM).

It shall consist of the following personnel:

At least the first three and the SSCC representative shall be ESA employees.

Club members who are not able to attend the AGM for acceptable reasons may vote by proxy.

Duties of the Committee

  1. To be responsible for the running of the club.
  2. To introduce such rules as may be necessary for the efficient running of the club, subject to approval at an extraordinary general meeting or the AGM.
  3. To stimulate general activities of the club.
  4. To rule on penalties to be given for misuse of the courts or breaking the club rules especially with regard to the booking system.
  5. Liaison with ESA, i.e. Administration and SSCC.
  6. Liaison with KNLTB.

The committee shall have the power to co-opt committee members whenever considered necessary.

Playing Times

The booking rules shall be decided by the Committee following the general wishes and advices of the members.

Subscriptions

All financial charges and fees shall be decided at the AGM.

Meetings

The AGM of the club shall be held in the last quarter of each ETC year.

The secretary shall circulate to all members a notice of the meeting one month prior to the circulation of the agenda in order to give members the time to raise matters for discussion. The final agenda will be circulated seven days prior to the meeting.

An extraordinary general meeting may be called at any time by the Committee or by written request of at least 20% of the full members. Notice of the meeting respectively the agenda to be circulated in the same way as for the AGM.

Modifications of the Constitution

The constitution may only be amended by approval of at least two thirds of the members present at an AGM.

Proposed amendments must be circulated to the secretary in writing, with a seconder, for circulation to all to all members at least ten days before they are to be considered.

KNTLB Registration

The ESTEC Tennis Club is registered at the KNLTB (Dutch Tennis Association). This relationship is defined in Appendix II. The ESTEC Tennis Club Committee represents the club's interest at the KNLTB.

In the event of conflict between this constitution and the provisions of Appendix II the constitution shall prevall.

The detailed provision in Appendix II shall only apply to those members for whom a contribution to the KNLTB has been paid by the Club.

Amendments to the Club Constitution

Election Procedure of Future Committee

  1. Elections to the club committee shall be held in conjunction with the AGM.
  2. Candidates shall manifest themselves to the committee prior-to/at the AGM
  3. Committee members shall be voted by show of hands with candidates being elected by the largest number of raised hands

Vote of Confidence for a Sitting Committee

  1. A vote of confidence for a sitting committee can be initiated at any time either by the committee itself or through written request by at least 20% of the senior club members.
  2. The vote of confidence shall be conducted in the same way as the AGM election. Ballot sheets on which yes or no to the question of confidence can be indicated shall be distributed to all senior club members not later than two weeks after the valid request has been received.
  3. A vote of confidence is achieved if more than half of the returned votes support the sitting committee If it is not achieved the committee has to initiate new elections within one month applying a procedure analogous to the one laid down in point 1.
